Terms and Conditions for Coaches
These Terms and Conditions are dated 28 October 2022 (the "Effective date").
Please read these Terms & Conditions ("Terms", "T&C") carefully before registering into our Coach Partnership Programme.
By being registered as a Coach, you agree to these Terms. If you are registering as a representative of an entity, you are agreeing to these Terms on behalf of that entity. If you disagree with any part of these Terms, you cannot be registered as a Coach.
We may make changes to the Terms from time to time. You may reject the changes by terminating your registration as a Coach. You understand and agree that if you continue your registration with us after the date on which the Terms have changed, we will treat your continuation as acceptance of the updated Terms.

INTERPRETATION
The following definitions and rules of interpretation apply in this T&C.
1.1 Any reference to “we”, “us”, “our” shall represent Kossie Limited together with any of its subsidiaries, its holding company, and fellow subsidiaries of its holding company (“Kossie”)
1.2 Any reference to “you” or “your” shall represent a “Coach”.
1.3 “Coach” shall mean any registered person or entity that has been successfully registered his/her or its account at Kossie Platform.
1.4 “Guidance” shall mean any guidance provided by a Coach for a User’s guidance request at our Platforms.
1.5 “Party” shall mean either of Kossie or a Coach individually and “Parties” shall mean both of them collectively.
1.6 “Platform” shall mean https://kossie.co.uk/, https://www.kossie.com/.
1.7 “Price” shall mean the price of Guidance.
1.8 “Qualified Guidance” means guidance requests submitted by Users and guidance provided by Coaches and then published at our Platforms successfully.
1.9 “User” shall mean the person who submits Guidance Request at our Platforms.
1.10 Clause and paragraph headings shall not affect the interpretation of this T&C.
1.11 Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.
1.12 A reference to writing or written includes email.
1.13 Any words following the terms “including”, “include”, “in particular”, “for example”, or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

2.1 We are Kossie Limited, a company registered in Hong Kong, trading as Kossie. Our company registration number is 2812359 and our registered office is at Room 708, 7/Floor, Stag Building, 148-150 Queen’s Road Central, Hong Kong

2.3 We are the data controller in relation to our Platform and are responsible for your personal data. Please see Clause 7 and our privacy policy which is available at https://kossie.co.uk/info/privacy-policy / https://www.kossie.com/info/privacy-policy and for information about what personal data we collect and what we do with it. It is important that you read our privacy policy, which may be updated from time to time, and understand how we use your information and the rights that you have about your information.
2.4 When we use the words "writing" or "written" in these terms, this includes emails.

APPLICATION/REGISTRATION AS A COACH
3.1 Eligibility
To become a Coach, you must apply and register for a Coach Account (“Account”) at our Platform by providing complete and accurate application information and if you are an individual, be over the age of eighteen (18), and, if you are applying as a legal entity, your business, trade or profession must be established and authorized to operate in the countries that we support, as disclosed on our Platform when you apply for an Account. You must meet our eligibility requirements and provide us the relevant certificates in order to register for and maintain an Account. We treat all activities under an Account to be those of the registered user. You may not allowed to provide the Guidance on your Account on behalf of any other person or entity. You must update application information by sending email to us (partnerwithus@kossie.co.uk) promptly upon any change so that it is at all times complete and accurate. We reserve the right to refuse to provide or discontinue service to any person or entity, or close the Account of any person or entity, in each case at any time for any reason.
You authorize Kossie to post your certificates and your experience backgrounds at our Platforms so that anyone who enter our Platforms will access the information. You declare that all provided information and certificates in the registration are true and correct. You are aware of the responsibility that you, according to the current legislation, bear for the provision of knowingly false or incorrect information.
3.2 Pricing of Guidance
When the Account is approved to be registered at our Platforms, you can start to provide the Guidance for our Users. You can set up your pricing of Guidance for our Users’ selection. Once our User select you to be the Coach to provide the guidance to his/her Guidance Request at your price, you cannot change the price for the User and are required to accept the offer of Guidance Request within 48 hours, otherwise the offer will be expired and the User will be asked to select another Coach for the Guidance. Upon your acceptance of the Guidance Request, you are required to provide the Guidance within 24 hours, or the Guidance Request will be expired and the User will be asked to select another Coach for the Guidance.
You may update your pricing before any User accepts your price and selects you to provide Guidance to his/her Guidance Request. Should the User accepts your price and you accept the Guidance Request, the price for the User will be the price that he/ she accepts it. You cannot change the accepted price.

CONTENTS OF THE GUIDANCE
4.1 When providing the Guidance on or to our Platform,
(a) you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to use, reproduce, process, adapt, modify, publish, display and distribute such content at our Platform.
(b) you are prohibited to promote your business when providing the Guidance
4.2 For all Guidance that you provide, you warrant that:
(a) the content is accurate, up to date and not misleading;
(b) you own or otherwise control all necessary rights to meet your obligations under these terms regarding such content; and
(c) the use of such content does not and will not infringe any intellectual property rights of any third party.

FEES
5.1 We will charge 20% fees out of your price of qualified guidance.
5.2 We reserve the full discretion to revise the fees from time to time. We will notify you at the platform if there are changes. Once you continue your provision of the Guidance when the change is effective, it implies you agree to the new fees.
5.3 You are responsible for paying any direct or indirect taxes, including any VAT, GST, or income tax, which may apply to them depending on location, residency or otherwise, under provisions of your jurisdiction. You agree to comply, and will comply at all times, with your obligations under income tax provisions in your jurisdiction. The price of qualified guidance shown on the Platform is inclusive of all such taxes and charges that may apply to you..

PAYMENT METHOD
6.1 Stripe Connect Account
You are required to register an account with Stripe (payment processing platform) at our Platform for the connection of payment. By registering an account with Stripe, you must provide Stripe with the required information in order to get it registered. Should you have any queries of registering Stripe connect account with Kossie, you are advised to refer the Terms and Conditions at Stripe platform before you register such account.
We may change the payment processing platform from time to time and has full discretion in choosing which payment processing platform for your payment. Should we change to another payment processing platform, we will inform you before we change it. You may consider if you will continue to register an account for the new payment processing platform. Should you decide not to register at the new payment processing platform, you are advised to terminate your account and stop to provide any Guidance.
6.2 Threshold Payment
You may request payment when you reach the Threshold amount which will be decided by Kossie at full discretion. Upon such request, we will approve the amount after deduction of any Stripe fee and arrange Stripe to pay you the approved amount by depositing to your provided bank accounts. Should you change your bank accounts as registered with Stripe connect account, you are required to update it, otherwise the payment cannot be made successfully and you have to bear the delay of payment.

CANCELLATION AND TERMINATION
7.1 Should you decide to cancel your registration as a Coach at our platform, you are required to send the cancellation request to partnerwithus@kossie.co.uk by using your account email. Any other emails to cancel your account will not be considered a cancellation.
7.2 If you cancel your registration, your cancellation will take effect immediately and you shall be paid on the basis of qualified guidance submissions up-to the moment of your cancellation.
7.3 You agree that we may at any time, at our sole discretion and for any or no reason, terminate or suspend your registration as a Coach at our platform. You agree that any termination of your registration may be without prior notice, and you agree that we will not be liable to you or any third party for such termination.

USE OF YOUR PERSONAL INFORMATION
8.1 When you register or otherwise use our Platform, you provide us with personal data which is collected and used in accordance with the terms of our Privacy Policy which is accessible at https://kossie.co.uk/info/privacy-policy / https://www.kossie.com/info/privacy-policy. It is important that you read our privacy policy, which may be updated from time to time, and understand how we use your information and the rights that you have about your information.
8.2 In the event you process personal data relating for the purpose of provide the Guidance or otherwise using the Platform, you confirm and undertake that you will only process such personal data for the sole purpose of providing the Guidance on the Platform and you will apply all adequate technical and organizational measures to keep such personal data secure.

ENTIRE AGREEMENT
9.1 These terms constitute the entire agreement between you and us in relation to the use of the Platform. These terms supersede and extinguish all other agreements, promises, assurances, warranties, representations and understandings between you and us, whether written or oral, in relation to the use of the Platform.
9.2 You acknowledge that you will have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these terms.

OTHER IMPORTANT TERMS
10.1 We may transfer our rights and obligations under these terms to another organization. The organization may or may not be our related companies. We will contact you to let you know if we plan to do this. If you do not wish to continue the contract with the transferee, you may end the contract by terminating your account before such transfer. Should you keep on using your account with us, you are determined to accept all the changes.
10.2 You cannot transfer your rights or your obligations under these terms to another person unless we agree to this in writing.
10.3 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
10.4 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide service, we can still require you to make the payment at a later date.

GOVERNING LAW AND COMPLAINT
11.1 These terms are governed by and shall be construed in accordance with the laws of the Hong Kong.
